Welcome to SignifyLA.com (the “Site”), operated by Signify LA (referred to as “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Site, including placing orders for products such as valet signs, parking signage, podiums, key boxes, custom signage, A-frames, cones, and related accessories (collectively, the “Products”).

By accessing, browsing, or placing an order on the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site or place orders.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Site. By using the Site, you represent that you meet these requirements.

2. Accounts and User Conduct

• You may need to create an account to place orders or upload custom designs.
• You are responsible for maintaining the confidentiality of your account and for all activities under it.
• You agree not to:
  • Upload content that infringes third-party rights (copyright, trademark, etc.).
  • Provide false information in orders or designs.
  • Use the Site for illegal purposes.

We reserve the right to suspend or terminate accounts for violations.

3. Orders and Custom Products

• All orders are subject to acceptance by us. We may refuse or cancel orders (including after confirmation) due to pricing errors, stock issues, or suspected fraud.
• Custom-Designed Products: Products involving custom text, logos, graphics, colors, sizes, or any personalization (e.g., podium magnets, Signicade A-frames with print, back-lit inserts, valet signs with custom artwork) are made-to-order and final sale. Once production begins (after proof approval), no cancellations, changes, or returns are accepted except for manufacturing defects reported per our Refund & Return Policy.
• You are solely responsible for the accuracy of all content you provide or approve (text, images, logos). You represent and warrant that your content does not infringe any third-party intellectual property rights and that you have all necessary rights or licenses.
• We provide digital proofs for custom orders. Approval of the proof is final; minor color variations may occur due to screen vs. print differences.

4. Pricing, Payment, and Taxes

• Prices are in USD and exclude shipping, taxes, duties, or fees.
• We accept major credit cards and other methods displayed at checkout. Payment is due in full at order placement (unless otherwise agreed in writing).
• You authorize us to charge your payment method. California sales tax applies to orders shipped to California addresses.
• Prices and availability may change without notice.

5. Shipping, Delivery, and Risk of Loss

• Shipping estimates are approximate; delays may occur due to carrier issues, customs, weather, or production.
• Title and risk of loss pass to you upon delivery to the carrier (FOB our facility).
• You are responsible for providing a correct delivery address. We are not liable for lost or delayed shipments due to incorrect information.
• Freight-shipped items (podiums, stands, etc.) must be inspected on delivery.

6. Intellectual Property

• All content on the Site (text, images, logos, designs) is owned by us or our licensors and protected by U.S. and international copyright, trademark, and other laws.
• By uploading content for custom Products, you grant us a non-exclusive, royalty-free license to use, reproduce, and display it solely to produce and fulfill your order.
• We respect intellectual property rights. If you believe content on the Site infringes your rights, contact us with details (DMCA-compliant notice).

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.

We provide no warranties beyond those expressly stated. Products are sold “as is” except for manufacturing defects covered under our warranty or return policy.

8. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your breach of these Terms, your content, or your violation of any law or third-party rights.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.

Any disputes arising out of or related to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.

10. California Consumer Privacy Rights

As a California-based business, we comply with the California Consumer Privacy Act (CCPA/CPRA).
